1. Introduction

Welcome to Blink Marketplace (“Blink”, “we”, “our”, or “us”).

These Terms and Conditions (“Terms”) govern access to and use of the Blink Marketplace mobile application, website, auction infrastructure, wallet systems, livestream features, logistics integrations, fulfilment operations, communication systems, and all related services (collectively, the “Platform”).

By accessing, registering on, or using Blink Marketplace in any capacity, you agree to be legally bound by these Terms, our Privacy Policy, and any supplemental policies published by Blink Marketplace.

If you do not agree to these Terms, you must discontinue use of the Platform immediately.

2. About Blink Marketplace

Blink Marketplace is a digital infrastructure for high-value asset exchange designed to facilitate transparent, competitive, and trust-enabled transactions within emerging markets.

The Platform supports:

  • Real-time and scheduled auction rooms;
  • Optional live Q/A sessions;
  • Fixed-price (“Buy Now”) transactions for approved categories;
  • Intelligent auto-bidding systems;
  • Agricultural produce fulfilment operations;
  • Asset verification and inspection workflows;
  • Platform-enabled logistics coordination;
  • Legal documentation and transfer facilitation.

Blink Marketplace is not a direct seller, buyer, exporter, logistics carrier, warehouse operator, financial institution, or legal representative in transactions conducted between users. Blink operates solely as a technology and transaction facilitation platform.

3. Eligibility

To use Blink Marketplace:

  • You must be at least eighteen (18) years old;
  • You must possess legal capacity to enter binding agreements under Nigerian law;
  • You must provide accurate, complete, and truthful information;
  • You must maintain updated account information at all times.

Blink reserves the right to verify identities, request additional compliance documentation, reject registrations, suspend accounts, or restrict Platform access at its sole discretion.

Only Nigerian-based buyers and brands with a verifiable Nigerian presence may transact on the Platform.

4. User Accounts and Security

4.1 Account Registration

Users may register using approved identification and contact information including phone number, email address, government-issued identification where required, business verification documents, and additional KYC information. Users may not create multiple accounts for deceptive, manipulative, fraudulent, or abusive purposes.

4.2 Account Responsibility

Users are solely responsible for safeguarding account credentials, wallet PINs, device access, authentication methods, and all activities conducted through their accounts. Blink shall not be liable for losses arising from compromised devices, phishing, credential sharing, user negligence, or unauthorized third-party access.

4.3 Account Deletion & Restrictions

Users may directly initiate an account deletion request at any time natively through the Account Settings panel within the Blink mobile application or web platform dashboard.

Please note that account deletion requests are processed programmatically and final approval is bound by system-wide marketplace safety rules. To protect transaction counterparties and preserve high-value asset escrow security, the platform will automatically evaluate your account for active liabilities. If your profile contains pending transactions, unfulfilled purchases, active live-bidding entries, outstanding physical inspections, or unresolved dispute workflows, your deletion request will remain in a pending state and approval will be deferred until all obligations are thoroughly resolved and legally closed.

Certain transaction, compliance, legal, inspection, payment, audit, and dispute-related records may continue to be retained following an approved account deletion where required by law, regulatory obligations, fraud prevention requirements, or operational necessity.

5. Brands, Sellers, and Streamers

5.1 Brand Accounts & Obligations

Brands may create auction rooms, upload listings, schedule events, and manage assets through verified business accounts. Blink reserves the right to approve, reject, suspend, or remove brand accounts.

Verified brands are strictly responsible for:

  • Providing accurate, honest descriptions, verifiable histories, and high-quality imagery of assets;
  • Ensuring assets are physically available for coordination and inspection as described in the listing;
  • Paying the designated platform transaction commission upon the successful finalization of an asset sale.

5.2 Streamers

Approved streamers may create auction rooms on behalf of brands, promote rooms externally, host optional live sessions, and earn commissions from successful transactions. Streamer access may require social media verification, category selection, subscription plans, or additional compliance review. Blink is not responsible for private commission disputes between brands and streamers outside officially documented Platform agreements.

5.3 Private Auction Rooms

Blink supports private invite-only auction rooms accessible exclusively through invite links, access codes, or restricted approval systems. Participants in private rooms remain fully bound by these Terms.

6. Listings and Asset Information

Sellers and brands are solely responsible for ensuring that all listings, uploads, descriptions, previews, specifications, inspection representations, and documentation are accurate, lawful, authentic, non-misleading, and up to date.

Blink does not independently guarantee the accuracy of seller-provided information.

Misrepresentation may result in listing removal, account suspension, financial penalties, dispute liability, or permanent Platform restriction.

7. Auctions, Auto-Bidding & System Anomalies

7.1 Auction Structure

Auction rooms may include scheduled bidding periods, optional live Q/A sessions, reserve prices, minimum increments, buy-now pricing, and inspection availability. Auctions may continue regardless of whether a live session is active.

7.2 Auto-Bidding System

Blink may provide intelligent automated bidding systems (“AutoBid Systems”) designed to assist users in participating in auctions based on user-defined bidding parameters and behavioral logic. AutoBid Systems may incorporate timing strategies, bid pacing, competitiveness simulations, reaction delays, weighted selection systems, and other auction engagement mechanics.

Users acknowledge that:

  • AutoBid participation does not guarantee winning;
  • Auction outcomes remain competitive and unpredictable;
  • Automated participation occurs at the user’s own discretion and risk.

7.3 Technical Anomalies and Outages

In the event of a critical platform outage, infrastructure disruption, network latency, or unexpected technical malfunction during an active auction window, Blink Marketplace reserves the right, at its sole and absolute discretion, to void contested bid results, extend bidding countdown parameters, or roll back and reschedule the affected auction room entirely to preserve marketplace integrity. Blink holds zero liability for missed bids or transaction failures caused by device-level connection drops or external network carrier latency.

8. Prestige Deposit System (Bid Commitments)

To preserve high-trust transactional integrity and deter frivolous or fraudulent engagement, users are required to maintain a refundable bidding commitment deposit (“Prestige Deposit” or “Bid Commitment Deposit”) prior to participating in specific high-value auctions. The Prestige Deposit determines maximum bidding eligibility bounds and demonstrates definitive buyer intent.

Current qualifying parameters may include:

  • A mandatory 5% deposit requirement relative to starting valuations or target bidding thresholds; and/or
  • Capped qualification structures explicitly managed via the platform dashboard.

Blink reserves the right to dynamically calibrate deposit frameworks, enforce category-specific constraints, or modify baseline qualification caps at any time without prior notice.

Deposit Release Timeline: Prestige Deposits allocated by non-winning auction participants are programmatically unlocked and returned to the user’s platform wallet infrastructure within 2 to 24 hours following the definitive verification and formal closure of the respective auction room.

8.1 Bidder Default & Forfeiture

By placing an active bid, you enter into a legally binding contract to finalize the purchase if you are declared the winning bidder. Where a winning bidder subsequently refuses payment, abandons the transaction, fails to complete contract execution timelines, or breaches structural payment windows (typically 48 to 72 hours), the user shall be deemed in default. Upon default, Blink maintains the right to impose severe financial penalties, including the partial or full forfeiture of the applicable Bid Commitment Deposit. Forfeited balances may be distributed between the injured seller, operational dispute processing pools, and Blink platform costs.

9. Payments and Financial Infrastructure

Blink Marketplace does not directly hold or store customer funds. Payment processing, wallet infrastructure, virtual account issuance, and transaction settlement services are facilitated through licensed third-party financial institutions, payment processors (including Paystack), and regulated banking partners.

Users may fund wallets, receive unique virtual account nodes, process auction completions, settle logistics charges, and clear platform fees through these integrated compliant payment networks.

Blink reserves the structural right to delay settlements, demand supplementary source-of-funds or verification documentation, enforce strict transaction clearing windows, or temporarily isolate wallets where required for risk mitigation, fraud protection, or regulatory compliance.

10. Inspection, Verification & "As-Is" Status

High-value categories necessitate physical asset inspection, regulatory documentation review, title verification, or formal condition sign-off prior to escrow finalization. Inspection operations involve assigned Blink field representatives, independent certified valuation agents, legal partners, or technical inspectors.

Applicable inspection and documentation processing charges may be designated as payable by the buyer, the seller, or shared symmetrically depending on the specific asset profile.

Blink coordinates these procedures to build trust but does not independently issue legal asset warranties, mechanical condition absolute guarantees, structural durability covenants, or exhaustive title certificates.

"As-Is, Where-Is" Clause: Except as explicitly verified and detailed in an official, time-stamped Platform Inspection Report compiled prior to transaction settlement, all assets on the Platform are auctioned, sold, and transferred strictly on an "As-Is, Where-Is" basis. Blink Marketplace disclaims all implied warranties regarding merchantability, mechanical operational readiness, or specific purpose fitness once the buyer executes physical or programmatic sign-off.

11. Agricultural Fulfilment Operations

For approved agricultural categories, Blink coordinates physical fulfilment workflows through authorized regional fulfilment hubs, certified warehousing networks, quality assurance personnel, and structured agricultural logistics partners.

Sellers are required to submit purchased commodities to designated fulfilment locations for inventory aggregation, moisture and grading verification, sorting, packaging, batching, and secure delivery logistics.

Delivery trajectories, handling parameters, and regional fees fluctuate dynamically based on payload volume, distance metrics, seasonal storage limitations, and real-time operational constraints.

12. Logistics and Delivery

Blink may facilitate platform-enabled transport, third-party logistics (3PL) freight matching, or seller-managed haulage delivery frameworks. Where Blink assists with freight coordination, the platform acts strictly as an intermediary coordinator; transport execution remains bound to the carrier's distinct operational limits.

Blink holds zero liability for transit delays, handling damage, route diversions, physical loss or theft, adverse weather interruptions, or systemic third-party logistics operational failures.

13. Fees and Charges

Blink charges operational fees to sustain its infrastructure, including transaction commissions, platform service adjustments, streaming broadcaster subscription tiers, inspection processing assessments, documentation drafting charges, transport coordination fees, and dispute mediation fees.

All platform fees, baseline commissions, and subscription rates are dynamic and may be modified periodically at Blink’s absolute discretion based on geography, asset vertical, operational intensity, or target campaigns.

Sellers acknowledge that standard baseline transaction commissions (such as the typical 10% milestone fee) are subject to modification based on the dynamic platform fee schedules, premium asset tiers, or localized room parameters in force at the time of auction scheduling.

14. Prohibited Activities

Users shall not: engage in fraud or deception; manipulate auctions; create fake bids; abuse AutoBid systems; impersonate other users; upload unlawful assets; conduct money laundering activities; circumvent Platform fees; interfere with Platform operations; harass users; or violate Nigerian laws or regulatory obligations.

Blink reserves full authority to investigate and enforce violations.

15. Compliance, Regulatory Obligations & Data Privacy

Blink Marketplace operates in alignment with the legal frameworks of the Federal Republic of Nigeria, including anti-money laundering (AML) regulations, KYC obligations, consumer protection mandates, and Special Control Unit Against Money Laundering (SCUML) protocols. Users must supply accurate verification materials upon request. Failure to comply may trigger transactional freezing, settlement holds, account termination, or immediate regulatory disclosure.

Data Protection Alignment: All personal data, corporate documents, biometrics, and transaction histories acquired during onboarding or execution are processed in strict conformity with the Nigeria Data Protection Act (NDPA) 2023 and subsidiary guidelines issued by the Nigeria Data Protection Commission (NDPC), as comprehensively detailed within our Privacy Policy.

16. Disputes and Resolution

Users agree to first utilize Blink’s internal dispute resolution mechanisms before pursuing external legal remedies. Blink may review transaction evidence, inspect bidding logs, evaluate inspection reports, consult legal partners, and issue administrative resolutions.

Blink’s involvement does not constitute legal representation of either party.

Users remain responsible for pursuing independent legal remedies where necessary.

17. Intellectual Property

All Platform infrastructure, branding, software systems, auction logic, visual identity, trademarks, and proprietary technology belong exclusively to BLINKMARKETPLACE LIMITED unless otherwise stated.

Users may not reproduce, reverse engineer, copy, distribute, or commercially exploit Platform materials without written authorization.

18. Limitation of Liability

To the fullest extent permitted under applicable law, Blink Marketplace shall not be liable for indirect losses, business interruption, lost profits, reputational harm, speculative losses, or third-party conduct.

Blink does not guarantee uninterrupted Platform availability, transaction success, bidding outcomes, asset authenticity, or investment profitability. Where liability cannot legally be excluded, Blink’s liability shall be limited to the extent reasonably attributable to its direct services.

Nothing in these Terms excludes liability where exclusion is prohibited by law.

19. Amendments

Blink may modify these Terms periodically. Updated Terms become effective upon publication on the Platform.

Continued use of Blink Marketplace constitutes acceptance of revised Terms.

20. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of the Federal Republic of Nigeria.
